1. Acceptance of Terms

By creating an account, accessing, or using Scotell ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you may not use the Service. These Terms form a binding legal agreement between you and Scotell.

2. Description of Service

Scotell is an AI-powered business research and intelligence platform. The Service generates research reports containing competitor analysis, market sizing estimates, regulatory summaries, business plan drafts, viability scores, and related insights. All content is produced by artificial intelligence systems and third-party data providers.

Scotell is a research tool. Nothing in our reports constitutes legal, financial, investment, tax, or professional advice. Always verify outputs and consult qualified professionals before making business decisions.

3. Eligibility & Account Registration

To use the Service, you must be at least 18 years of age and capable of forming a binding contract. You agree to:

  • Provide accurate, current, and complete information when creating your account.
  • Maintain the confidentiality of your login credentials.
  • Notify us immediately if you suspect unauthorised access to your account.
  • Use only one account per person — creating duplicate accounts is prohibited.
  • Not share account access with other individuals.

4. AI-Generated Content

Reports and outputs generated by Scotell are produced by large language models and supplemented by third-party data sources including business directories, regulatory databases, and web search. By using the Service, you acknowledge that:

  • AI outputs may contain errors, hallucinations, outdated information, or omissions.
  • Viability scores and financial projections are estimates, not guarantees.
  • Regulatory information is a starting point for research only — consult a lawyer for legal compliance.
  • Competitor data reflects publicly available sources and may not be exhaustive.
  • You are solely responsible for validating and acting on any information from the Service.

5. Acceptable Use

You agree to use the Service only for lawful purposes. You must not:

  • Use the Service to produce content for illegal, fraudulent, or harmful activities.
  • Attempt to reverse-engineer, scrape, copy, or redistribute the platform's infrastructure or generated outputs at scale.
  • Use automated tools, bots, or scripts to access or abuse the platform.
  • Impersonate any person or entity, or misrepresent your affiliation.
  • Upload or submit any content that infringes third-party intellectual property rights.
  • Circumvent, disable, or otherwise interfere with security-related features.

6. Service Tiers & Payments

Scotell offers a Free tier and a Premium tier. Usage limits, features, and pricing are described on our Pricing page and may be updated with reasonable notice. Regarding payments:

  • Premium subscriptions are billed in advance on a monthly or annual basis.
  • All fees are non-refundable except where required by applicable law.
  • Scotell may modify pricing with at least 30 days' notice to existing subscribers.
  • Failure to pay may result in downgrade to the Free tier or account suspension.

7. Intellectual Property

Reports you generate using the Service are provided for your own business use. The Scotell platform, branding, interface design, underlying AI systems, and aggregated training data remain the exclusive property of Scotell. You grant Scotell a limited, non-exclusive licence to process your submitted inputs solely to generate your requested outputs. You retain ownership of any original content you submit.

8. Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and processing of your data as described in the Privacy Policy.

9. Termination

Scotell may suspend or terminate your account at any time for violation of these Terms, suspected fraud, or any other reason at our discretion, with or without prior notice. You may close your account at any time via the Settings page. Upon termination, your right to access the Service ceases immediately. Data retention following termination is governed by the Privacy Policy.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. Scotell does not warrant that:

  • The Service will be uninterrupted, error-free, or free of harmful components.
  • Any AI-generated content is accurate, complete, or fit for a particular purpose.
  • The Service will meet your specific business or research requirements.
  • Results obtained from the Service will be reliable or suitable as a basis for decisions.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Scotell and its officers, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. In no event shall Scotell's total aggregate liability exceed the greater of (a) the amount you paid to Scotell in the twelve months preceding the claim or (b) one hundred Canadian dollars (CAD $100).

12. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of Ontario, Canada.

13. Changes to These Terms

Scotell may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and, where practicable, notify registered users by email or in-app notice. Your continued use of the Service after the effective date of any update constitutes acceptance of the revised Terms.
